These Terms & Conditions govern access to ayurvite.com and the purchase, booking, licensing or use of Ayurvite consultations, professional services, software, digital products and related support.

1. Acceptance of These Terms
Use the website or purchase a service only after reviewing the applicable terms
By accessing the website, submitting an enquiry, making a booking, placing an order, accepting a proposal, creating an account or using an Ayurvite deliverable, you agree to these Terms & Conditions and the documents incorporated by reference.
If you act for a company, institution or another person, you confirm that you are authorised to bind that entity or person. If you do not agree, do not use the relevant website feature, service or product.
Where a signed proposal, statement of work, order form, software licence, subscription plan or other written agreement conflicts with these general terms, the specific written agreement controls for that engagement.

Clients must obtain qualified medical, legal, tax, accounting, architectural, engineering, cybersecurity, regulatory or other specialist review where the project requires it. Ayurvite may recommend specialists but does not guarantee their work.
4. Enquiries, Proposals & Contract Formation
An enquiry or estimate does not itself create a project

Enquiry
A form, email, WhatsApp message or preliminary discussion allows us to assess the requirement but does not oblige either party to proceed.

Estimate
A fee range or preliminary estimate is non-binding until scope, assumptions, exclusions and commercial terms are confirmed.

Proposal
A proposal becomes binding only through the acceptance method stated in it, such as signature, written approval, order placement or payment.

Electronic Acceptance
Bookings, online orders, checkbox acceptance, email approvals and electronic records may be used to evidence agreement.

Order Review
Ayurvite may decline or seek clarification before accepting an order that is technically, legally, ethically or operationally unsuitable.

Change Control
A new requirement, changed approval, additional revision or altered dependency may require a written change request and revised fee or timeline.
5. Strategy Sessions & Consultations
Paid consultations are prepared professional engagements
The consultation scope, duration, fee, participants and included follow-up are stated on the booking page or confirmation. Payment is normally required in full before the appointment is confirmed.
Clients must provide relevant context before the meeting and ensure that the appropriate decision-maker attends. Time used to understand incomplete or inaccurate information remains part of the booked session.
Consultation exclusions
- A consultation does not automatically include a detailed report, blueprint or project plan
- Written summaries are included only in the consultation option that expressly provides them
- Late attendance does not normally extend the scheduled end time
- Recording is permitted only with prior mutual agreement
- Separate implementation requires a new proposal or order
6. Fees, Taxes, Invoices & Payment
Payment obligations follow the applicable booking, order or proposal
Website prices are presented as GST-inclusive client prices unless specifically stated otherwise. Formal invoices may separately show taxable value, GST and other required particulars.

Advance Payment
Consultations, ready-to-use products, subscriptions and initial project milestones may require advance payment before access or work begins.

Milestone Billing
Projects may be billed through advance, design, development, testing, deployment or other defined milestones.

Third-Party Costs
Hosting, domains, APIs, travel, licences, laboratories, app stores, messaging and external specialists are additional unless included in writing.

Overdue Amounts
Ayurvite may pause work, access, support or delivery when an amount remains overdue after the applicable due date.

Currency & Charges
The client is responsible for bank, foreign-exchange, remittance and payment-provider charges unless otherwise agreed.

Taxes & Withholding
Clients must provide required tax information and lawful withholding certificates. Unauthorised deductions do not reduce the agreed fee.
7. Client Responsibilities
Timely and accurate cooperation is a project dependency
Client Must Provide
- Complete and accurate requirements, data, content and business rules
- Authorised access, credentials and technical information
- One designated coordinator and authorised decision-maker
- Consolidated feedback and approvals within agreed review periods
- Rights and permissions for supplied text, images, data and software
- Required internal, clinical, legal, regulatory and financial approvals
- A safe and lawful environment for implementation and use
Effects of Client Delay
- Delivery dates may move when inputs, approvals, access or payment are delayed
- Reserved resources may be reassigned after prolonged inactivity
- Restarting a paused project may require a revised schedule or fee
- Third-party price changes may be passed through where applicable
- Ayurvite is not responsible for errors caused by inaccurate or unauthorised inputs
- Work outside the agreed scope requires written approval
8. Software, Platforms & Digital Products
Ready-to-use, configured and custom software have different rights and obligations
The applicable product page, order, licence or proposal defines modules, users, term, deployment, support, data responsibilities and permitted use.
Ready-to-use products are normally licensed
Configuration does not transfer core ownership
Customisation is limited to the approved scope
Source-code rights require express written agreement
Subscription access ends when the term expires
Third-party components retain their own licences
Updates follow the purchased support plan
Client data remains subject to agreed responsibilities
Ayurvite Enquiry

Unless expressly agreed otherwise
- Ready-to-use software remains Ayurvite intellectual property
- The client receives a limited, non-exclusive, non-transferable right of use
- Reverse engineering, source extraction, resale and unauthorised sublicensing are prohibited
- Configuration, migration, integrations and custom reports may carry separate fees
- Ayurvite may suspend access for non-payment, misuse, security risk or material breach
- Data export and transition assistance are provided only within the applicable plan or paid scope
9. Intellectual Property
Ownership depends on the type of material and the written agreement
Ayurvite retains ownership of its pre-existing methods, frameworks, templates, code, libraries, products, designs, know-how, documentation systems, generic components and improvements unless expressly assigned in writing.
After full payment, the client receives the rights expressly stated in the proposal, order or licence. A commissioned deliverable does not automatically include source files, reusable components, exclusive rights or ownership of Ayurvite background technology.
The client retains ownership of its authorised pre-existing data, trademarks, content and confidential material. The client grants Ayurvite the limited rights necessary to perform the engagement.

Pre-existing tools, code, methods and know-how remain with their original owner.

Client Materials
The client must have permission to supply and use all contributed material.

Third-Party Material
Open-source and commercial components remain subject to their own licences.

Portfolio Use
Public case-study or portfolio use occurs only within confidentiality and permission boundaries.
10. Confidentiality
Confidential information must be identified, protected and lawfully shared
Ayurvite Will
- Use confidential information for the agreed purpose
- Limit access to people who reasonably need it
- Apply proportionate administrative and technical safeguards
- Avoid public disclosure without authority
- Return, delete or retain information according to the agreement and applicable law
Client Must
- Share only information it is authorised to disclose
- Use approved secure channels for sensitive material
- Avoid sending patient records or credentials through general forms
- Identify special confidentiality or access restrictions before work begins
- Protect Ayurvite proposals, credentials, code, reports and non-public pricing
11. Third-Party Services
External providers remain subject to their own terms and availability

Booking & Meetings
Appointment, calendar and video-meeting providers control their own platform availability and account rules.

Payments
Payment gateways and banks may apply verification, settlement, refund and chargeback procedures.

Hosting & Domains
Hosting, DNS, email, cloud and security providers may experience outages, policy changes or price revisions.

APIs & Integrations
External APIs, messaging, app stores and connected software may change or discontinue features.

Open-Source Software
Open-source components are provided under their applicable licences and community support conditions.

Professional Specialists
Independent legal, clinical, accounting, engineering or regulatory specialists remain responsible for their own work.
12. Warranties, Disclaimers & Liability
Liability is allocated according to the agreed scope and applicable law

Professional Effort
Ayurvite will use reasonable professional skill and care in delivering the expressly agreed scope.

No Implied Outcome
No warranty is given that a project will obtain funding, approval, ranking, publication, revenue, adoption or commercial success.

Client Decisions
The client remains responsible for final decisions, implementation, operations, claims, compliance and use of deliverables.

Indirect Loss
To the maximum extent permitted by law, neither party is liable for indirect, special, incidental or consequential loss.

Liability Cap
Unless a specific agreement states otherwise, Ayurvite’s aggregate contractual liability is limited to fees paid for the affected service during the preceding twelve months.

Non-Excludable Rights
Nothing in these terms excludes liability or consumer rights that cannot lawfully be excluded or limited.
Client indemnity
To the extent permitted by law, the client will indemnify Ayurvite against third-party claims, losses and reasonable costs arising from unauthorised client materials, unlawful instructions, infringement, misuse of deliverables, unsupported claims, security compromise caused by the client, or breach of these terms, except to the extent caused by Ayurvite’s own proven breach or unlawful conduct.
13. Suspension, Cancellation & Termination
Access or work may be paused when continuation is unsafe, unlawful or commercially overdue
Ayurvite may suspend a booking, project, account, licence, subscription or support service for non-payment, security risk, abuse, unauthorised use, unlawful instructions, material breach, prolonged client inactivity or a third-party dependency that prevents safe delivery.
Either party may terminate according to the applicable proposal, licence, subscription or policy. Termination does not remove accrued payment, confidentiality, intellectual-property, indemnity or other obligations intended to survive.
On termination
- The client must pay for completed work, committed resources and non-cancellable costs
- Ayurvite may deliver completed paid work in its then-current state
- Subscription or hosted access may end according to the applicable plan
- Transition, export or handover work may require a separate paid scope
- Each party must continue to protect confidential information
14. Events Beyond Reasonable Control
Neither party is responsible for delay caused by qualifying external events
A party is not liable for delay or failure caused by events beyond its reasonable control, including natural disaster, epidemic, war, civil disruption, government action, internet or utility failure, provider outage, cyberattack not caused by that party, labour disruption or unexpected unavailability of critical third-party infrastructure.
Affected Party Should
- Notify the other party within a reasonable period
- Take proportionate steps to reduce disruption
- Resume performance when reasonably possible
- Communicate material impact on scope or schedule
Possible Outcomes
- Revised timeline or delivery sequence
- Temporary suspension of affected work
- Replacement of a third-party dependency
- Good-faith scope adjustment
- Termination where continuation becomes impracticable
15. Notices, Governing Law & Disputes
Good-faith resolution should be attempted first
Formal notices may be sent through the contact details stated in the applicable proposal, order or account, or to desk@ayurvitewellness.com for Ayurvite.
These terms and non-contractual matters connected with them are governed by the laws of India. The parties should first attempt good-faith resolution through authorised representatives.
Subject to mandatory consumer rights and any specific written dispute clause, courts having competent jurisdiction where Ayurvite’s registered office is situated will have jurisdiction over unresolved disputes.
Consumer rights remain protected
Nothing in these terms removes rights or remedies that a consumer cannot lawfully waive. Business and institutional clients acknowledge that many Ayurvite services are acquired for professional or commercial use.
16. General Provisions
These clauses preserve the practical operation of the agreement

Ayurvite may update these website terms when services, products, providers, business practices or legal requirements change. The updated version applies prospectively from the displayed effective date. Existing signed engagements remain governed by their applicable written terms.
